Welcome to Plant Base, including its subsidiaries, affiliated entities, brands, retail locations, and related operations (“Plant Base,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our websites, online ordering platform, retail purchase and delivery services, and any related products, features, content, and services we make available (collectively, the “Services”).

By accessing or using the Services, you (“you,” “user,” or “customer”) agree to be legally bound by these Terms and our Privacy Policy.

If you do not agree to these Terms or our Privacy Policy, do not use the Services.

THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECT YOUR RIGHTS IN RESOLVING DISPUTES.

 

1. ELIGIBILITY AND AGE REQUIREMENTS

You must be at least twenty-one (21) years of age to access the Services or purchase adult-use cannabis products through Plant Base, unless applicable law permits medical cannabis purchases by individuals eighteen (18) years of age or older who hold a valid medical marijuana registration card or other required authorization.
2. By using our Services, you represent and warrant that:
   • You are at least twenty-one (21) years old, or you are at least eighteen (18) years old and possess a valid medical marijuana registration card or other legally required authorization, where applicable.
   • Any information you provide is true, accurate, current, and complete.
3. We reserve the right to request government-issued identification and any other legally required documentation at any time to verify your age, identity, and eligibility.

2. COMPLIANCE WITH LOCAL, STATE, AND FEDERAL LAW

Cannabis remains illegal under United States federal law. By using the Services, you acknowledge that:

• Plant Base operates in accordance with applicable state and local cannabis laws and regulations where it is licensed to do business.
• You are solely responsible for understanding and complying with the laws that apply to cannabis possession, purchase, transport, and use in your jurisdiction.

You further agree that:

• You will not use the Services for any unlawful purpose.
• You will not attempt to purchase or receive cannabis products in any location where doing so is illegal.
• Plant Base does not ship cannabis products across state lines under any circumstances.

3. NOT MEDICAL ADVICE; PRODUCTS NOT FDA APPROVED

The content made available through the Services, including text, graphics, images, product descriptions, and other information (“Content”), is for informational purposes only.

Statements made through the Services have not been evaluated by the U.S. Food and Drug Administration (“FDA”). The efficacy of cannabis or medicinal marijuana products has not necessarily been confirmed by FDA-approved research. Cannabis products are not intended to diagnose, treat, cure, or prevent any disease.

Content provided through the Services is not intended to be, and should not be used as, a substitute for professional medical advice, diagnosis, counseling, or treatment. Always seek the advice of a physician or other qualified healthcare provider regarding any medical condition. Never disregard professional medical advice or delay seeking it because of something you read through the Services.

4. ABOUT PLANT BASE; ACKNOWLEDGMENTS

A. What Plant Base Does

Plant Base provides an online and retail platform through which customers may browse products, connect with participating Plant Base locations or affiliated dispensaries, place orders or reservations where permitted, and in certain jurisdictions request lawful local delivery. Plant Base may also operate brick-and-mortar dispensaries and related retail services.

Neither Plant Base nor its Services are medical providers, and you acknowledge that Plant Base does not provide medical advice through the Services or otherwise.

B. Dispensaries and Applicable Law

Plant Base offers a curated selection of cannabis products, accessories, and other permitted merchandise. All products sold through the Services are intended for lawful use only. It is your responsibility to understand and comply with local laws regarding cannabis products and related accessories.

You may only place orders, make reservations, or request deliveries for goods or services from participating Plant Base locations or affiliated dispensaries where such activity is lawful. You must use the Services, including the manner in which you order, reserve, request delivery, pick up, and pay for products, in compliance with the laws and regulations of the jurisdiction in which you access the Services (“Applicable Laws”).

Depending on your location, payment for goods or services may be made in person at a Plant Base location or authorized delivery location upon presentation of valid government-issued identification, a medical marijuana registration card, physician recommendation, or any other documentation required by Applicable Laws.

You acknowledge that features of the Services may vary depending on the jurisdiction from which you access them. For example, delivery may be available in some jurisdictions but not in others.

C. Federal Law

Plant Base makes no representation regarding the legality under United States federal law of the cultivation, manufacture, distribution, possession, recommendation, sale, purchase, or use of cannabis, or any activity facilitated through the Services. You are solely responsible for any civil, criminal, or administrative consequences that may result from your use of the Services. Plant Base expressly disclaims responsibility for such consequences to the fullest extent permitted by law.

D. Product Descriptions

Plant Base attempts to be as accurate as reasonably possible in describing products available through the Services. However, you acknowledge and agree that products and product amounts may vary by batch and that displayed amounts may be approximate or shown as ranges.

Displayed amounts may include, without limitation, THC, THCA, CBD, CBDA, other cannabinoids, terpenes, total weight, volume, unit count, and other measurements relevant to a product.

E. Product Images

Plant Base attempts to provide product images that are as accurate as reasonably possible. However, Plant Base does not warrant that images available through the Services will exactly match the products or packaging available for purchase. Products and packaging may differ in appearance from those shown.

F. Pricing and Availability

Prices for products are subject to change without notice. We reserve the right to modify, discontinue, or limit the availability of any product at any time. We are not liable for pricing changes, errors, or product unavailability.

G. Orders and Payment

By placing an order through the Services, you agree that all information provided is accurate and complete. We reserve the right to refuse, limit, or cancel any order for any reason, including suspected fraud, inventory discrepancies, compliance concerns, or errors in pricing or product information.

Orders placed through the Services constitute a request to reserve products and do not guarantee availability until confirmed and fulfilled by the applicable Plant Base location or participating dispensary.

Payment for cannabis products must be completed in person at the point of sale or at the time of lawful delivery, in accordance with Applicable Laws. Accepted payment methods may vary by location and may include cash, PIN-based debit transactions, ACH-based payment solutions, and approved digital wallet solutions. Credit cards and cryptocurrency may not be accepted for cannabis purchases unless specifically permitted by law and the applicable retail location.

H. Fulfillment, Shipping, and Delivery

Plant Base does not ship cannabis products. Orders placed through the Services may be fulfilled in person at a Plant Base-operated or affiliated dispensary or, where permitted by Applicable Laws, by lawful local delivery.

Delivery availability, service areas, and fulfillment options vary by location and are subject to product availability, identity verification, age verification, and all legal requirements. Delivery times are estimates only and may vary based on order volume, staffing, inventory, weather, and regulatory conditions.

You are responsible for providing accurate and complete information necessary to fulfill your order. Plant Base is not responsible for delays or inability to complete fulfillment resulting from inaccurate information, failure to satisfy legal requirements, or other compliance-related limitations.

I. First-Time Purchase Discount

If Plant Base offers a first-time customer discount or promotion (“First-Time Purchase Discount”), it may be available only on a customer’s first qualifying purchase and subject to location-specific rules, exclusions, and limitations.

If Plant Base determines, in its sole discretion, that you created more than one account or otherwise attempted to circumvent promotional restrictions in order to obtain a First-Time Purchase Discount more than once, Plant Base may deny or revoke the discount and take any other action permitted under these Terms or Applicable Laws.

J. Returns and Refunds

Due to the nature of cannabis products and applicable regulations, all cannabis sales are generally final. Returns, exchanges, or refunds are not permitted based on personal preference, dissatisfaction with effects, or change of mind unless otherwise required by Applicable Laws.

In limited circumstances, defective, damaged, mislabeled, or improperly dispensed products may be eligible for review, replacement, store credit, or another remedy, in Plant Base’s sole discretion and only as permitted by Applicable Laws and the applicable location’s policies.

To request review of a potentially defective product, you may be required to provide proof of purchase, original packaging, product identifiers, photographs or video documenting the issue, and timely notice to the applicable location or customer support team.

Any replacement, credit, or other remedy is determined case by case and is not guaranteed.

This section applies only to cannabis products. Non-cannabis merchandise, accessories, or apparel may be subject to separate return policies where permitted by law.

5. ACCESSING THE SERVICES

We reserve the right to withdraw or amend the Services, and any material or functionality we provide, in our sole discretion and without notice. We will not be liable if all or any part of the Services is unavailable at any time or for any period.

From time to time, we may restrict access to some or all portions of the Services, including to registered users.

You are responsible for:

• Making all arrangements necessary for you to have access to the Services.
• Ensuring that all persons who access the Services through your internet connection or devices are aware of these Terms and comply with them.

6. ACCOUNT REGISTRATION AND USE

To access certain features, you may be required to provide registration details, submit certain documentation, or create an account (“Account”). It is a condition of your use of the Services that all information you provide is correct, current, and complete.

If you access the Services through a mobile device and disable location services, or otherwise do not provide sufficient location data, certain features may not be available to you.

C. Account Activities

You are the sole authorized user of your Account and are responsible for maintaining the confidentiality of your login credentials. You are solely responsible for all activity that occurs under your Account. Plant Base disclaims liability arising from unauthorized use of your Account to the fullest extent permitted by law.

Subject to your compliance with these Terms, Plant Base grants you a personal, non-exclusive, non-transferable, revocable, limited license, without the right to sublicense, to access and use the Services for your personal, non-commercial use only.

All rights not expressly granted are reserved by Plant Base and its licensors. Your right to use the Services is a license only and does not constitute a sale of any software or intellectual property.

B. Use Restrictions

You agree that you will not:

1. Use the Services if you are not legally competent to agree to these Terms or do not meet the applicable age requirements.
2. Use the Services in violation of Applicable Laws.
3. Use the Services for fraudulent purposes or to store, send, or transmit unlawful, offensive, indecent, or objectionable material.
4. Use the Services to advertise, solicit, or send unauthorized commercial communications, including spam.
5. Use the Services in a manner that causes nuisance, annoyance, or inconvenience.
6. Fail to maintain the confidentiality of any credentials issued to you.
7. Refuse to provide reasonable verification documents we may request.

D. Feedback and Revisions

Any suggestions, comments, ideas, proposals, or other feedback you provide regarding the Services (“Feedback”), as well as any improvements, updates, modifications, or enhancements relating to the Services (“Revisions”), shall be owned exclusively by Plant Base.

You hereby assign to Plant Base all right, title, and interest in and to such Feedback and Revisions, including all associated intellectual property rights, and acknowledge that Plant Base may use them without notice or compensation.

E. User Content License Grant

If the Services allow you to submit ratings, reviews, comments, or other content (“Your Content”), you grant Plant Base a non-exclusive, perpetual, irrevocable, royalty-free, worldwide, transferable, sublicensable license to use, reproduce, display, publish, distribute, modify, adapt, and create derivative works from Your Content in connection with operating, promoting, and improving the Services.

You represent and warrant that:

10. PROHIBITED USES

• ANY DEFECTS WILL BE CORRECTED;
• PRODUCTS OR SERVICES OBTAINED THROUGH THE SERVICES WILL BE SAFE, RELIABLE, OR SUITABLE.

YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF PRODUCTS PURCHASED THROUGH THE SERVICES.

19. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANT BASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR REVENUE.

PLANT BASE’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:
